Usage Rights and Licensing Policy
Effective Date: July 30, 2026
Purpose
This policy explains the general usage rights for videos and creative materials produced by Client Follow-Up Systems LLC.
The specific proposal, invoice, statement of work, or signed service agreement for a client project will control the exact rights granted for that project. If that agreement differs from this policy, the signed agreement will apply.
Final Approved Deliverables
After the project is paid in full, the client receives the usage rights stated in the project agreement for the final approved deliverables.
Unless different terms are provided in writing, the client receives a nonexclusive commercial license to use the final approved videos for the client's own:
- Website
- Social media accounts
- YouTube channel
- Digital advertising
- Product or service promotions
- Email marketing
- Presentations
- Internal business use
The license applies only to the final approved deliverables and does not automatically transfer ownership of every individual production element.
Full Payment Required
Usage rights do not become active until all required project payments have cleared.
Drafts, previews, samples, watermarked files, or unfinished versions may not be published, distributed, advertised, sold, or used commercially without written permission.
Final downloadable or watermark-free files may be withheld until the project balance is paid in full.
Client-Specific Use
Unless otherwise stated in writing, usage rights are granted only to the client, business, or brand named in the project agreement.
Deliverables may not be transferred, sold, relicensed, or provided to an unrelated business, agency, customer, or third party for its own use.
Additional licensing may be required for:
- Multiple businesses or brands
- Agency or white-label use
- Resale
- Client redistribution
- Television or broadcast use
- Paid streaming
- Large-scale media placement
- Product packaging
- Merchandising
- Use by franchisees, affiliates, or partner organizations
Materials Not Automatically Included
The purchase of a finished video does not automatically include:
- Editable project files
- Raw production files
- Source files
- Prompts
- Prompt libraries
- Templates
- Internal workflows
- Production systems
- Generation histories
- Alternate concepts
- Rejected drafts
- Unused scenes
- Unused images
- Unused audio
- Working documents
- Software access
- Account access
- Contractor files
These materials remain the property of Client Follow-Up Systems LLC or the applicable third-party owner unless specifically included in writing.
AI-Generated and AI-Assisted Content
Final deliverables may include AI-generated or AI-assisted:
- Images
- Video scenes
- Characters
- Presenters
- Avatars
- Voices
- Environments
- Motion
- Visual effects
- Audio
- Editing elements
The client receives the agreed usage rights for the completed deliverable. However, Client Follow-Up Systems LLC does not guarantee that every individual AI-generated element qualifies for separate copyright protection.
Copyright rights may depend on human authorship, creative direction, scripting, editing, selection, arrangement, modification, applicable law, and third-party license terms.
Third-Party Materials
Projects may include licensed third-party materials such as:
- Music
- Sound effects
- Stock footage
- Stock photography
- Fonts
- Voice models
- Avatars
- Templates
- Software-generated assets
- Platform-provided elements
Third-party materials remain subject to their original licenses and restrictions.
The client may not extract, resell, sublicense, redistribute, or use a third-party asset separately from the final approved deliverable unless the applicable license permits it.
Some third-party licenses may limit the length, location, platform, audience, advertising use, or duration of use.
Client-Provided Materials
The client retains ownership of materials the client owns and provides.
By submitting materials for a project, the client grants Client Follow-Up Systems LLC permission to use, reproduce, edit, modify, format, upload, and process those materials as reasonably necessary to complete the project.
The client confirms that it has permission to use all submitted materials, including:
- Logos
- Business names
- Trademarks
- Photographs
- Videos
- Music
- Scripts
- Product images
- Customer statements
- Testimonials
- Names
- Voices
- Likenesses
- Brand assets
- Copyrighted materials
The client is responsible for claims resulting from materials supplied without proper authorization.
Voices, Likenesses, and Characters
A real person's voice or likeness may not be cloned, recreated, or used without appropriate authorization.
AI-generated presenters, spokespersons, and characters may not be falsely represented as real customers, employees, professionals, experts, or public figures.
Rights to an original character, show concept, title, format, or recurring series will be determined by the project agreement.
Creation of a character or concept does not automatically include exclusive ownership, trademark rights, source assets, or unrestricted use beyond the agreed project.
Testimonial-Style Content
A testimonial-style video is a creative advertising format.
It may not be represented as the genuine experience of a real customer unless it is based on an actual, authorized, and truthfully represented customer experience.
The client is responsible for making required disclosures and ensuring that the final use of the content complies with advertising and platform requirements.
Client Modifications
Clients may make reasonable formatting changes needed for approved use, such as:
- Resizing
- Cropping
- Adding platform captions
- Adding an approved logo
- Creating platform-specific versions
Clients may not modify a deliverable in a way that:
- Creates a false endorsement
- Changes the meaning of an approved statement
- Removes a required disclosure
- Violates a third-party license
- Misrepresents unfinished work as final
- Uses a person's likeness or voice without permission
- Damages or misrepresents the work or reputation of Client Follow-Up Systems LLC
Major edits, derivative versions, or repurposing outside the original project may require written approval or additional licensing.
Portfolio Use
Unless otherwise agreed in writing, Client Follow-Up Systems LLC may display final publicly released work in its:
- Website portfolio
- Social media
- Proposals
- Presentations
- Promotional materials
- Private client examples
- Awards or creative submissions
Confidential, unreleased, embargoed, or legally restricted work will not knowingly be published before authorization.
Clients who require confidentiality or do not permit portfolio use must request and document that restriction in writing before production begins.
Exclusive Rights
Standard project pricing does not automatically include exclusive rights.
Exclusivity may be available through a separate written agreement and may require an additional fee.
Exclusive rights may be limited by:
- Time period
- Industry
- Territory
- Platform
- Campaign
- Character
- Voice
- Concept
- Visual style
Third-party tools, models, assets, or broadly available production methods cannot be made exclusive.
Copyright Assignment
A complete copyright assignment is not included unless it is clearly stated in a signed agreement.
Any agreed copyright assignment applies only to the rights Client Follow-Up Systems LLC legally owns and has the authority to transfer.
Third-party materials, licensed tools, stock assets, AI model components, templates, and other excluded materials cannot be transferred as original client-owned property.
Resale and Redistribution
Unless expressly authorized in writing, clients may not:
- Resell the final video as a standalone product
- Sell or distribute project files
- Repackage the work as a template
- License the content to unrelated businesses
- Upload the content to stock marketplaces
- Claim ownership of excluded third-party assets
- Use the work to train an artificial-intelligence system
- Share prompts, workflows, or internal production materials
Digital Products
Books, guides, templates, prompts, audio materials, systems, and downloadable resources are licensed according to the terms displayed at the point of purchase.
Unless expressly permitted, purchasers may not:
- Resell
- Share
- Give away
- Rebrand
- Republish
- Sublicense
- Upload publicly
- Distribute to clients
- Use the material to create a competing product
Purchasing a digital product does not transfer copyright ownership.
Unauthorized Use
Unauthorized use may result in:
- Suspension or revocation of the license
- A request to remove or stop using the content
- Additional licensing fees
- Claims for damages or expenses
- Legal action when appropriate
Additional Rights
Expanded rights may be purchased or negotiated separately.
These may include:
- Exclusive licensing
- White-label use
- Multi-brand use
- Broadcast rights
- Resale rights
- Source files
- Editable files
- Copyright assignment
- Extended advertising use
- Character or series rights
All expanded rights must be confirmed in writing.
